Reseller Policy

By purchasing Royal Flush Finds services for resale, you agree to adhere to this Reseller Policy
To ensure that Royal Flush Finds authorized resellers (“Resellers”) can maintain healthy margins and ensure that Royal Flush Finds end users receive a quality sales and customer service experience, Royal Flush Finds has announced this Reseller Policy (the “Reseller Policy “). Royal Flush Finds believes that its end-user customers are best served by having resellers who market the Royal Flush Finds Services as premium branded products and who provide an outstanding level of service and support to their end-user customers.
Royal Flush Finds adopts this Resale and Quality Policy (this “Policy”) and requires each person, company or entity (as applicable, a “Reseller”) that purchases its services (the “Services”) for resale or other distribution to agree to comply with this Policy. Accordingly, the terms of this Policy are incorporated and added to any contract entered into between Royal Flush Finds and Reseller in connection with the purchase or sale of the Services by Reseller.
SALES ONLY TO END USERS
Unless otherwise agreed with Royal Flush Finds in writing, Reseller may only purchase Services for resale to consumers and end users and Reseller may not resell Services to suppliers or for distribution in any manner.
INTERNET SALES ARE PROHIBITED
Reseller will be prohibited from selling our branded Products online unless it applies to, is approved by Royal Flush Finds and executes an Authorized Internet Reseller Agreement or other similar agreement that governs how it sells online.
SALES RESTRICTED TO THE TERRITORY
If Reseller purchases Services under a contract that obligates Reseller to resell the Services in a geographic territory, Reseller must comply with that obligation.
INTELLECTUAL PROPERTY
Unauthorized use of the intellectual property of our Services is prohibited. Resellers who comply with this Policy have a limited, non-exclusive, non-sub licensable, revocable license to use Royal Flush Finds’ trademarks and copyrights in connection with the sale of the Products. Reseller will not alter, modify or change any trademark or copyright, nor will Reseller use any trademark or copyright other than for the promotion and sale of the Services, nor will Reseller use any trademark or copyright in any manner that adversely affects such trademark or copyright. Failure to comply with the Policy will result in the automatic revocation of the license granted herein and the complete loss of the rights granted herein. Royal Flush Finds reserves the right to revoke this license at any time for any or no reason;
INSPECTION SERVICE
Royal Flush Finds will promptly inspect all Services upon completion and will promptly return on the terms of sale any Services that appear incomplete or unsatisfactory at the time of inspection.
SALES PRACTICES
Reseller will conduct its business in a reasonable and ethical manner at all times and will not engage in any misleading, deceptive or unethical advertising or practices at any time nor make any warranty or representation with respect to the Services, except as expressly authorized Royal Flush Finds. Reseller shall comply with applicable laws, rules, regulations and policies relating to advertising, sales and marketing of the Services.
CUSTOMER SERVICE LEVEL
The reseller shall provide the highest levels of customer service. The reseller and the reseller’s sales personnel shall be familiar with the special features of all Royal Flush Finds Services marketed for sale and shall obtain sufficient product knowledge to advise customers on the selection and safe use of the services, as well as any applicable warranties, guarantees or returns.
CUSTOMER SERVICE CHANNELS
Reseller will maintain customer service email and telephone response functions as required by the original Agreement to handle customer complaints, returns and other customer service functions. Upon Royal Flush Finds’ request, Reseller will provide any reports or other information requested by Royal Flush Finds, with respect to a particular Service to determine the date of purchase of the Service by Reseller, the location where the Service was purchased and the dates on which the Service was sold or performed by Reseller to a purchaser.
CONSUMER SAFETY AND SERVICE CANCELLATION
Reseller will cooperate with Royal Flush Finds in connection with any consumer safety complaint investigation or any service termination evaluation. To ensure the safety and well-being of end users of the Services, Reseller agrees to cooperate with Royal Flush Finds regarding any termination of the Service or other efforts to disseminate consumer safety information.
SERVICE FAILURE
If a significant number of Services purchased by Reseller fail, Reseller will immediately report such event to Royal Flush Finds.
REPORT UNAUTHORIZED RESELLERS
If Reseller has information, or reasonably suspects, that any person is purchasing and reselling or distributing Services in a manner not authorized by Royal Flush Finds, Reseller must immediately notify Royal Flush Finds.
OTHER INFORMATION, DOCUMENTS AND REPORTS
Reseller must provide Royal Flush Finds with all supplemental information, documents and reports that Royal Flush Finds may request to validate Reseller’s compliance with this Policy and to support Royal Flush Finds’ customer service and warranty support obligations and initiatives.
UNILATERAL POLICY CHANGES
Royal Flush Finds sales personnel have no authority to modify or grant exceptions to this Unilateral Policy. All questions regarding the interpretation of this Policy should be directed to the Reseller Policy Committee via email.
TERMINATION AND LIABILITY DUE TO POLICY VIOLATION
If Royal Flush Finds determines that Reseller is violating the Reseller Policy, it may take appropriate legal action, including, but not limited to, refusing to accept orders from Reseller or instructing its distributors to refuse to accept orders from Reseller.
MODIFICATION AND POLICY CHANGES
Royal Flush Finds reserves the right to update, amend or modify this Reseller Policy at any time. Unless otherwise indicated, such amendments will be effective immediately and Reseller’s continued use, advertising, offer for sale or sale of the Products will be deemed Reseller’s acceptance of the amendments.
